1. Agreement to Terms

By accessing or using the MayamiTech website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

MayamiTech Private Limited provides:

• AI agent development and deployment services
• Expert evaluation and data annotation services
• AI strategy and consulting services
• Databricks and cloud infrastructure services

Specific deliverables, timelines, and pricing are defined in individual service agreements or statements of work (SOW) between MayamiTech and the client.

3. Client Obligations

When engaging our services, you agree to:

• Provide accurate and complete information necessary for service delivery
• Grant reasonable access to systems and data required for the project
• Respond to communications and provide feedback in a timely manner
• Make payments according to the agreed schedule
• Comply with all applicable laws and regulations

4. Intellectual Property

Client Work Product

Unless otherwise specified in the service agreement, all custom code, agents, and deliverables created specifically for a client are owned by the client upon full payment. MayamiTech retains the right to use general knowledge, techniques, and methodologies gained during the engagement.

MayamiTech Property

Our website content, branding, proprietary tools, frameworks, and pre-existing intellectual property remain the property of MayamiTech. Clients may not reproduce, distribute, or create derivative works from MayamiTech's proprietary materials without written consent.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes but is not limited to business strategies, technical specifications, source code, data, and financial information. Confidentiality obligations survive the termination of the service agreement.

6. Payment Terms

• Payment terms are specified in individual service agreements
• Invoices are due within 15 days of issuance unless otherwise agreed
• Late payments may incur interest at 1.5% per month
• MayamiTech reserves the right to suspend services for overdue accounts

7. Warranties and Disclaimers

MayamiTech warrants that services will be performed in a professional and workmanlike manner. We do not guarantee specific outcomes, including but not limited to AI model accuracy, revenue generation, or performance benchmarks, unless explicitly stated in the service agreement.

THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

8. Limitation of Liability

To the maximum extent permitted by law, MayamiTech's total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim in the 12 months preceding the claim.

MayamiTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Termination

Either party may terminate a service engagement with 30 days written notice, unless otherwise specified in the service agreement. Upon termination:

• The client shall pay for all work completed up to the termination date
• MayamiTech shall deliver all completed work product
• Both parties shall return or destroy confidential information

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be resolved through arbitration in accordance with applicable Indian arbitration laws.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on this page. Continued use of our services after changes constitutes acceptance of the modified terms.
